SPECIAL REMINDER

By filling in information as prompted on the registration page, reading and agreeing to this Agreement, and completing all registration procedures, you shall be deemed to have fully read, understood and accepted all contents of this Agreement. You confirm that this platform is a professional commercial B2B cross-border trading platform for foreign trade, dedicated to providing industrial product cross-border trade matching services for domestic and foreign commercial entities, and is not a retail platform for ordinary consumers.

Any disputes arising from your use of platform services with UKKR Network shall be handled in accordance with this UKKR Network Service Agreement. For cross-border transaction disputes arising between you and other domestic and foreign users during the use of platform services, the foreign trade contracts, proforma invoices and trade agreements signed by both transaction parties shall prevail; in the absence of such agreements, disputes shall be handled in accordance with this Agreement and international trade practices.

If you disagree with this Agreement or any of its terms during the reading process, you shall immediately terminate the registration process and cease using the services.

UKKR Network shall provide you with cross-border B2B trade matching services subject to the following terms and conditions. Please carefully read and strictly abide by relevant domestic and foreign laws, regulations and the provisions of this Agreement.

Welcome to UKKR Network. UKKR Network (Official Website: www.ukkr.com, hereinafter referred to as the "Website" or "Official Website") is a foreign trade B2B e-commerce service platform focusing on industrial product cross-border trade. The terms and conditions of this Service Agreement shall apply to all tools and services provided by UKKR Network, including but not limited to enterprise cross-border trade matching, supply and demand matching, inquiry and quotation, online communication, exhibition docking, and trade information services (hereinafter referred to as the "Services").

1. Acceptance of Terms and Validity of Agreement

Any act of browsing, registering, logging in or using the services of UKKR Network shall constitute your full reading, understanding and agreement to enter into this Agreement with UKKR Network, and you shall voluntarily be bound by all terms of this Agreement.

UKKR Network reserves the right to revise the terms of this Agreement in accordance with updates of laws and regulations, adjustments of cross-border trade policies and platform operation needs. Revised terms shall be publicly announced via platform notices, in-site notifications and other means. If you do not raise written objections within 10 days after the announcement and continue to use the platform services, you shall be deemed to have fully accepted the latest revised terms. All disputes between the two parties shall be subject to the latest version of the Agreement. Any expanded service scope and newly added functional services shall be governed by this Agreement.

The text of this Service Agreement, various rules publicly announced on the platform, cross-border transaction specifications, prohibited and restricted commodity rules, privacy policy and after-sales rules constitute an integral part of this Agreement and have the same legal effect as the text of the Agreement. If you do not recognize any of the aforesaid rules, you shall immediately stop using the platform services; continued use shall be deemed as implicit full acceptance of all rules.

2. Qualification of Platform Users

You warrant that the entity registering and using the foreign trade B2B services of this platform is a domestic or foreign enterprise, commercial organization with legitimate business qualifications and eligibility to engage in import and export trade business, or a trade practitioner with full capacity for civil conduct. You shall guarantee that you possess the corresponding qualifications, import and export permissions and performance capabilities for engaging in cross-border industrial product trade. Any use of the platform services without corresponding subject qualifications and business qualifications shall result in full legal liabilities borne by you, and UKKR Network has the right to directly freeze or cancel your account.

If you register and use the platform services on behalf of an enterprise or commercial organization, you declare and warrant that you have obtained legitimate authorization from the affiliated entity, are entitled to sign and perform this Agreement on behalf of such entity, and all legal consequences arising from commercial acts shall be jointly borne by the affiliated entity and yourself.

UKKR Network reserves the right to independently verify user qualifications, reject admission of non-compliant entities, and unilaterally suspend or terminate platform services for any user without prior notice. Meanwhile, the platform may irregularly verify users' import and export qualifications, business licenses, customs filing information and other documents according to cross-border trade risk control requirements.

3. Fee Rules

The Website reserves the right to independently formulate and adjust the charging standards for various paid platform services, which shall take effect upon public announcement on the platform.

All fees incurred by users from platform cross-border transactions, paid membership services, marketing promotion and value-added tool services, as well as all import and export tariffs, value-added taxes, cross-border taxes and fees, customs declaration fees, logistics fees, foreign exchange handling fees and other taxes and fees, together with all hardware, network and communication costs arising from transactions, shall be fully borne by users.

All platform charges are non-refundable unless otherwise agreed in writing by both parties. If a user fails to pay for paid services within the time limit, the platform has the right to suspend or terminate all services and reserve the right to recover outstanding fees.

4. Platform Positioning and Definition of Cross-border Transaction Rights and Liabilities

UKKR Network is a neutral foreign trade B2B information docking and transaction auxiliary platform. It only provides domestic and foreign commercial entities with services such as industrial product supply and demand information release, inquiry and quotation, trade docking and information display. The platform does not participate in the negotiation, contracting and performance of any cross-border transactions, nor does it act as a party to any transaction contract.

You fully acknowledge that cross-border trade involves inherent risks including but not limited to exchange rate fluctuations, customs inspection, import and export control, international logistics delays, overseas policy changes, and default by buyers or sellers. The platform cannot control or guarantee the performance capability, commodity quality, qualification legality or authenticity of trade information of domestic and foreign transaction parties, nor does it assume liability for guaranteeing commodity quality, ownership and compliance.

All cross-border transaction negotiations, contract signing, payment settlement, logistics delivery, customs clearance, after-sales performance and dispute handling between users shall be independently completed by both transaction parties, who shall bear all legal liabilities. All domestic and international disputes, claims and administrative penalties arising from cross-border transactions are irrelevant to UKKR Network, and users voluntarily exempt the platform from all liabilities.

5. User Data, Commodity Information and Cross-border Release Specifications

5.1 Account Registration and Data Maintenance

When registering, users shall submit true, accurate, complete and valid enterprise qualifications, import and export filing documents, contact information and other materials as required by the platform, and continuously update such materials to ensure real-time validity. The platform has the right to irregularly verify user qualification information in accordance with cross-border compliance requirements.

If a user submits false, expired or incomplete materials, or carries out cross-border trade activities without legitimate import and export qualifications, the platform has the right to immediately suspend or terminate account services and remove all commodity information. The user shall bear all losses and cross-border compliance risks arising therefrom, and the platform shall not assume any liability.

Users are prohibited from maliciously registering accounts, brushing inquiries or conducting malicious drainage through scripts or batch registration. The platform may take management measures such as muting, permission restriction, account blocking and cancellation against improperly registered and maliciously operated accounts.

5.2 Account, Password and Security Confidentiality

The account name, nickname and identifier set by users shall not violate laws and regulations, counterfeit official, government agency, well-known enterprise or media identifiers, or contain false publicity, misleading, infringing or illegal content. The platform has the right to directly cancel or rectify non-compliant accounts.

Users shall properly keep their accounts, passwords, login permissions and enterprise trade data, and bear full responsibility for all inquiries, quotations, information release and transaction docking behaviors under their accounts. In the event of account theft, abnormal login or unauthorized use, users shall immediately notify the platform and take self-initiated loss mitigation measures; all losses caused by failure to report in a timely manner shall be borne by the users.

The platform reserves the right to recover and cancel inactive accounts that have not been logged in for a long time, have not completed real-name authentication or have no valid cross-border business, and terminate all services. User accounts shall not be transferred, gifted or lent without legal provisions or written consent from the platform.

5.3 Compliance Requirements for User Information and Commodity Release

Users warrant that all enterprise data, commodity information, quotation information and foreign trade promotional content released on the platform shall be free of fraud and false publicity; shall not infringe the intellectual property rights, trademark rights, patent rights, trade secrets and other legitimate rights and interests of any third party; shall comply with the laws, regulations and trade control policies of China and the destination countries of import and export; shall not contain defamatory, pornographic, violent, superstitious or illegal inducement content; shall not carry viruses or malicious programs; and shall not be used to send spam emails, conduct malicious drainage or harass other users.

5.4 Specifications for Cross-border Prohibited and Restricted Commodities and Information

Users are strictly prohibited from releasing, docking or trading commodities and information restricted or prohibited from cross-border trade by domestic and foreign laws and regulations on the platform, including but not limited to contraband, controlled industrial products, infringing commodities, and commodities failing to meet import and export inspection and quarantine standards. Users are prohibited from using absolute extreme words, false data and illegal promotional terms; from improperly using national flags, national emblems, military police identifiers and the name of state organs; and from releasing illegal medical and health product advertisements, price fraud information and unfair competition information.

All commodity release and cross-border promotion content shall be true and compliant, and internet advertisements shall be clearly marked with the word "Advertisement". Users shall bear full compliance liability for all cross-border advertisements and commodity information released by themselves. The platform may directly delete or remove non-compliant content and block relevant accounts.

5.5 Exclusive Commitments of Foreign Trade B2B Users (Suppliers/Purchasers)

Supplier Commitments: Ensure that the released industrial product information is true, with accurate specifications and parameters and compliant with cross-border export standards; possess legitimate export qualifications and source ownership; do not sell infringing, inferior or illegally cross-border traded commodities; shall not evade platform rules or disrupt the cross-border transaction order in bad faith; shall fully compensate the platform for all losses if the platform suffers third-party claims or administrative penalties due to the supplier’s violations.

Purchaser Commitments: Conduct inquiries and purchases based on genuine cross-border trade demands, and prohibit malicious inquiries, false orders and malicious rights protection; if the purchased commodities are for export, strictly abide by domestic and foreign laws and regulations on import and export control, economic sanctions, customs supervision and foreign exchange management to ensure the compliance of personal and downstream trade chains, and shall not engage in any illegal cross-border trade activities.

6. Intellectual Property Rights and Information Authorization

Users voluntarily grant UKKR Network and its affiliated companies a global, perpetual, free and sub-licensable right to use, copy, edit, display, promote and distribute enterprise data, commodity images, copywriting, videos, brand information and other content uploaded by users for platform cross-border trade display, supply and demand matching, platform operation, compliance verification and other purposes.

Users warrant that they own complete intellectual property rights for all uploaded content and will not cause third-party infringement disputes. The platform only serves as an information display channel and shall not be liable for information use behaviors between users.

7. Privacy and Data Protection

The platform strictly protects users' commercial information, account information and trade data in accordance with laws, regulations and the platform’s privacy policy. Trade information and commodity information voluntarily disclosed by users on the platform may be retrieved, viewed and docked by compliant domestic and foreign users, and users shall bear trade risks arising from information disclosure.

The platform’s privacy policy is an integral part of this Agreement. Use of the services by users shall be deemed as consent to the platform’s collection, storage, use and protection of user data in accordance with the privacy policy.

8. Cross-border Transaction Procedures and Dispute Resolution

8.1 Transaction Docking Rules

Users may independently release supply and demand information, improve commodity categories, initiate inquiries and reply to quotations. After reaching trade intentions, both parties shall independently sign formal foreign trade contracts, proforma invoices and other trade documents. Platform inquiry and quotation records only serve as docking vouchers and do not constitute legally binding performance contracts, unless otherwise agreed in writing by both parties.

8.2 Special Risk Notification for Cross-border Transactions

Users fully acknowledge that cross-border trade may face risks such as customs clearance failure, cargo detention, increased taxes and fees and order cancellation due to differences in national customs policies, trade barriers, sanction policies, exchange rate fluctuations, international logistics and commodity inspection standards. All such risks shall be borne independently by both transaction parties, and the platform shall not be liable for any compensation or indemnity.

8.3 Transaction Dispute Resolution

The platform has no judicial adjudication authority and may only provide neutral mediation and evidence collection assistance upon applications from both parties. The mediation results of the platform for cross-border transaction disputes are not legally binding and the platform does not guarantee dispute resolution outcomes. Users undertake not to claim any rights against the platform due to cross-border transaction disputes.

The platform has the right to publicize non-compliant records and impose penalties on accounts verified to have engaged in false transactions, malicious inquiries, illegal cross-border trade, user fraud and other irregular behaviors. Users shall fully cooperate with the platform’s dispute verification work; those who refuse to cooperate may be subject to adverse disposal conclusions directly made by the platform.

9. Platform Transaction Order Specifications

Users are prohibited from manipulating transaction data, maliciously brushing reviews, submitting false inquiries, posting malicious negative reviews and conducting batch brushing orders, and from interfering with normal platform operation, occupying excessive platform server resources or cracking and interfering with platform system procedures.

Without written authorization from the platform, users are prohibited from crawling, copying or batch downloading platform domestic and foreign user data, commodity data and trade information for commercial profit, or using platform resources to engage in illegal commercial activities.

10. Service Termination and Account Cancellation

Under the free service mode, the platform may unilaterally terminate user services, cancel accounts and clear user released data for reasonable operation reasons, user irregularities, long-term inactivity or absence of valid cross-border business without prior notice or liability.

If paid service users commit violations or breaches of contract, the platform may immediately terminate services and block accounts, and no fees paid shall be refunded.

If a user actively applies for account cancellation, the contractual relationship between both parties shall terminate upon cancellation. The platform may legally retain user compliance records and transaction logs. The user’s liability for irregularity investigation and unsettled trade disputes during the service period shall not be eliminated by account cancellation.

11. Penalty Mechanism for Violations and Breaches of Contract

If users violate this Agreement, engage in illegal cross-border trade, release non-compliant information, commit infringement or fraud, or disrupt platform order, the platform has the right to take disciplinary measures including but not limited to warning, information deletion, commodity removal, account permission restriction, service suspension, permanent account blocking and store cancellation.

If user irregularities cause losses to the platform or third parties, the user shall independently bear full compensation liabilities, including but not limited to litigation fees, attorney fees, fines, goodwill losses and all rights protection costs.

12. Service Status and Risk Assumption

Platform services are provided on an "as available" basis without any express or implied warranties. The platform does not guarantee uninterrupted service, fault-free operation, zero data errors or successful transactions. Users shall bear all risks arising from the use of platform cross-border trade services.

The platform shall not be liable for any breach of contract arising from service interruption, data delay or transaction obstruction caused by system maintenance, network failures, natural disasters, policy adjustments, overseas network problems or third-party reasons.

13. Liability Limitation and Disclaimer Clause

To the maximum extent permitted by laws and regulations, UKKR Network shall not be liable for users' indirect losses, anticipated profit losses, goodwill losses, cross-border transaction losses, exchange rate losses and logistics losses.

The platform shall be fully exempted from liability for transaction failures and performance obstacles caused by domestic and foreign policy changes, import and export control, trade sanctions, customs supervision, force majeure and third-party faults.

14. User Indemnification Liability

If the platform suffers third-party claims, administrative penalties or rights protection costs due to users' illegal use of platform services, breach of contract, infringement or illegal cross-border trade behaviors, the user shall fully indemnify all losses of the platform and exempt the platform from relevant liabilities.

15. Compliance Obligations

Users undertake to strictly abide by domestic laws and regulations including theE-commerce Law of the People's Republic of China, Import and Export Commodity Inspection Law of the People's Republic of China, Customs Law of the People's Republic of China and Foreign Exchange Control Regulations of the People's Republic of China, as well as trade, taxation, customs and intellectual property laws of transaction destination countries, and conduct cross-border B2B trade in a legal and compliant manner.

16. Definition of Cooperative Relationship

The relationship between users and UKKR Network is solely a platform service contractual relationship. This Agreement does not constitute agency, partnership, employment, joint venture or franchise relationship, and both parties shall independently bear their respective operational liabilities.

17. Disclaimer for Advertisements and Third-party Services

All cooperation, transactions and disputes between users and platform advertising merchants and third-party service providers shall be handled independently by both parties, and the platform shall not assume any liability. The platform does not guarantee the authenticity and compliance of third-party financial, logistics, customs declaration, fiscal and taxation services. Users shall independently conduct cooperation and bear all risks.

18. External Link Disclaimer

All third-party website and resource links on the platform are for convenience only. The platform does not control third-party content and shall not be liable for any losses incurred by users accessing third-party resources.

19. Force Majeure

The platform shall be exempted from liability for breach of contract if service performance is hindered or impossible due to uncontrollable factors including but not limited to natural disasters, wars, epidemics, sudden changes in domestic and foreign government policies, escalation of import and export control, strikes and network paralysis.

20. Notice and Service of Process

Users shall timely update valid contact information. All notices issued by the platform via in-site messages, SMS, emails and platform announcements shall be deemed effectively served upon dispatch. Judicial documents may be served through the contact information reserved by users, and users shall bear all legal consequences arising from invalid contact information.

21. Agreement Revision and Effectiveness

The platform may revise this Agreement in accordance with laws and regulations, cross-border trade policies and operational needs. Revised versions shall be publicly announced on the platform, and continued use of platform services by users shall be deemed as acceptance of the updated Agreement.

22. Applicable Law, Jurisdiction and Miscellaneous

The formation, validity, interpretation and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People's Republic of China.

The platform has the right to assign all or part of its rights and obligations under this Agreement without user consent.

This Agreement constitutes the entire latest agreement between both parties and supersedes all previous oral and written agreements. If any clause of this Agreement is deemed invalid, the validity of the remaining clauses shall not be affected.

Any disputes arising between both parties shall be settled through priority negotiation; if negotiation fails, disputes shall be submitted to the people's court where the platform’s operating entity is located for settlement.

Supplementary Provisions

This Agreement shall apply to all foreign trade B2B cross-border trade services of UKKR Network and shall take effect as of the date when the user confirms and agrees during registration.
